Vocal2Melody Terms of Service

1. Parties and acceptance
These Terms are an agreement between you and 深圳市科米奈特信息技术有限责任公司 (the “Operator,” “we,” or “us”), whose registered address is 深圳市南山区桃源街道桃源社区北环大道方大广场(二期)1、2号研发楼1号楼908 (English translation for reference: Room 908, Building 1, R&D Buildings 1–2, Fangda Plaza Phase II, Beihuan Avenue, Taoyuan Community, Taoyuan Subdistrict, Nanshan District, Shenzhen, China). They govern your access to vocal2melody.com, creation of an account, and use of services offered under the Vocal2Melody brand. By registering, accepting the terms, uploading content, making a purchase, or continuing to use the service, you confirm that you have read, understood, and accepted these Terms, the Privacy Policy, and the Refund Policy. If you use the service for an organization, you confirm that you have authority to bind it. If you do not agree, do not use the service.
2. Service, eligibility, and accounts
Vocal2Melody uses automated models to analyze audio submitted by users and generate melodies, notation, timelines, MIDI, and other digital results. The service may impose limits on file formats, size, duration, task volume, credits, downloads, or reasonable use, as disclosed on the product page and at purchase. You must be old enough to enter into these Terms under the law where you live; otherwise, a parent or guardian must consent to and supervise your use. You must provide accurate information, safeguard your sign-in credentials, and remain responsible for activity on your account. Contact us promptly if you discover unauthorized access. Automated transcription quality depends on factors such as recording quality, noise, accompaniment, reverb, harmony, vocal style, and musical complexity. Results may contain omissions or errors or differ from human transcription, and we do not guarantee complete accuracy or fitness for a particular purpose. Do not use results as the sole basis for professional publication, forensic, medical, safety, or other high-risk decisions.
3. User content, outputs, and intellectual property
You retain rights in audio, files, and other content that you lawfully own, and you confirm that you have the rights needed to upload, copy, and process the relevant recordings, compositions, lyrics, performances, and other materials. To provide the service, you grant us and necessary service providers a non-exclusive, worldwide, royalty-free license limited to hosting, copying, transmitting, converting, analyzing, generating results, troubleshooting, and maintaining security. This license generally ends when the content is deleted, except for limited periods required for legal retention, dispute handling, and backup deletion. To the extent permitted by law and to the extent we hold rights in automatically generated results, you may download and use results that belong to you. An output does not grant you rights in any underlying recording, composition, lyrics, performance, or third-party material; you must obtain any permissions needed before publishing, distributing, selling, or performing it. Vocal2Melody software, models, interfaces, trademarks, and non-user content belong to the Operator or its licensors. A rights holder may send an infringement notice with proof of rights, the content location, and contact details to the email shown on this page.
4. Acceptable use
- Do not upload, generate, or distribute content that is illegal, harmful, fraudulent, defamatory, infringing, or invasive of privacy; impersonate another person; or submit recordings you have no right to process.
- Do not bypass account, credit, payment, access-control, or security measures; use bots, abnormal bulk requests, reverse engineering, malicious code, attacks, or other methods to extract models, abuse the service, or disrupt the platform or third-party infrastructure.
- Do not access, probe, or disclose another user's account, tasks, audio, or results, or use the service in violation of applicable law or third-party rights. We may restrict, remove, suspend, or terminate suspected violations and cooperate with authorities where legally required.
5. Payments, subscriptions, credits, and Paddle
Vocal2Melody may offer free plans, subscriptions, credit packages, or one-time digital services. Prices, currency, taxes, billing period, automatic renewal, features, credit allocations, and validity periods are shown on the pricing and checkout pages. Paddle.com is our authorized reseller and Merchant of Record for online orders and is responsible for the order process, payments, taxes, receipts, payment-related customer service, and monetary refunds. We provide the Vocal2Melody product and product support. Related transactions are also governed by the Paddle Buyer Terms and Paddle Refund Policy in effect at checkout. Subscriptions renew automatically for the period shown at checkout until canceled. You may stop renewal through the account billing area, the management link in your Paddle receipt, or Paddle Buyer Support. Cancellation normally takes effect at the end of the current paid period, and the applicable benefits remain available until then. Credits may be used only for designated services, are not money, and cannot be redeemed for cash, withdrawn, or transferred between accounts. Allocation, use, validity, and rollover rules are disclosed at purchase. Canceling a subscription is not the same as requesting a monetary refund, and monetary refunds are distinct from task-credit restorations under the Refund Policy. Nothing in these Terms limits mandatory consumer rights.
6. Service changes, disclaimers, and liability
We take reasonable steps to keep the service stable and secure, but model computation, networks, maintenance, force majeure events, and third-party hosting, storage, inference, analytics, or payment services may cause delays, interruptions, or processing failures. We may reasonably change features, limits, technical methods, or prices. Where reasonably practicable, we will give advance notice of material adverse changes affecting an existing paid subscription and will not retroactively increase the price of a period already paid for. The service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we do not guarantee uninterrupted or error-free operation, compatibility with every device or audio file, or any particular accuracy rate, and we are not liable for indirect, incidental, punitive, or consequential losses. Our aggregate liability for proven direct losses relating to a paid service is limited to the amount you paid for the relevant service during the twelve months before the event giving rise to the claim. These limits do not apply where liability cannot lawfully be excluded or limited and do not reduce mandatory remedies for non-delivery, persistent material technical defects, material non-conformity, or failure to perform.
7. Suspension, termination, governing law, disputes, and updates
You may stop using the service and request account closure through the contact email shown on this page. We may restrict, suspend, or terminate access if you seriously or repeatedly breach these Terms, create a security or fraud risk, fail to pay amounts due, must be restricted by law, or if the relevant service is discontinued. Where reasonably practicable and lawful, we will give advance notice. Termination does not affect rights and obligations already accrued or intended by their nature to continue. Personal information and user content are handled under the Privacy Policy, and monetary refunds and credits under the Refund Policy. Unless mandatory law where you live provides otherwise, these Terms are governed by the laws of Mainland China, excluding conflict-of-laws rules. The parties should first try in good faith to resolve disputes through the contact email. If a dispute remains unresolved thirty days after written notice, either party may bring it before a court with jurisdiction at the Operator's domicile, except where a consumer has a mandatory right to use another court. If any provision is invalid, the remainder stays effective. We may update these Terms for changes to features, payment processes, or law. Material adverse changes will be reasonably notified through the website, in-product notice, or account email with a new effective date and will not retroactively remove accrued statutory rights.
